The terms governing your access to and use of Siteligent's Services, including subscriptions, platform features, payments, responsibilities, and legal obligations.

1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the websites located at siteligent.com and app.siteligent.com, together with all associated software, applications, services, features, integrations, reports, APIs, support services, and related offerings provided by Siteligent LLP (“Siteligent”, “we”, “our”, or “us”).

By accessing, browsing, registering for, subscribing to, purchasing, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Services.

These Terms apply to all users of the Services, including website owners, agencies, freelancers, developers, businesses, organizations, and other entities.

Your use of the Services is also subject to additional policies and legal documents published by Siteligent, including but not limited to:

These documents are incorporated into these Terms by reference and form part of the agreement between you and Siteligent.

2. Definitions

For purposes of these Terms:

  • Account means a registered user account created to access or use the Services.
  • Customer means any individual, business, organization, agency, freelancer, or legal entity using the Services.
  • Customer Content means any information, website data, backups, files, credentials, reports, communications, documents, or materials uploaded, submitted, stored, generated, processed, or transmitted through the Services.
  • Platform means the Siteligent software platform, dashboard, applications, APIs, integrations, plugins, infrastructure, and related technology.
  • Services means all products, software, subscriptions, monitoring services, backup services, reporting services, AI-powered features, managed services, support services, and professional services provided by Siteligent.
  • Subscription means a paid recurring plan purchased by a Customer.
  • Trial means any temporary access period made available by Siteligent for evaluation purposes.

3. Eligibility

To access or use the Services, you must:

  • Be at least eighteen (18) years of age.
  • Have the legal authority to enter into binding agreements.
  • Provide accurate and complete information.
  • Comply with all applicable laws and regulations.

If you use the Services on behalf of a company, organization, agency, or other legal entity, you represent and warrant that you possess the authority to bind that entity to these Terms.

4. Account Registration

Certain Services require the creation of an Account. When registering for an Account, you agree to:

  • Provide accurate and complete information.
  • Keep your information current and updated.
  • Maintain the confidentiality of your credentials.
  • Prevent unauthorized access to your Account.
  • Promptly notify Siteligent of any unauthorized use or security incident involving your Account.

You are solely responsible for all activities that occur under your Account, whether authorized by you or not. Siteligent shall not be liable for losses resulting from your failure to maintain adequate account security.

5. Account Security

You are responsible for implementing reasonable security measures when using the Services.

These measures may include:

  • Strong password practices.
  • Multi-factor authentication where available.
  • Appropriate user permission management.
  • Secure storage of credentials.
  • Proper management of website access information.

Siteligent reserves the right to require additional security measures where reasonably necessary to protect the Platform, Services, Customers, or infrastructure.

6. Trial Services

Siteligent may provide eligible Customers with a free trial period to evaluate the Services. Unless otherwise stated, trial access is available for fourteen (14) days from activation. Trial access is provided solely for evaluation purposes and may be subject to feature limitations, usage restrictions, or capacity limits.

Siteligent reserves the right to:

  • Modify trial offerings.
  • Limit available features.
  • Restrict resource usage.
  • End trial access at any time.
  • Refuse trial access to any individual or organization.

Upon expiration of the trial period, continued access to paid features requires an active subscription.

7. Platform Services

Siteligent provides a cloud-based platform designed to help Customers monitor, maintain, secure, manage, and optimize WordPress websites. Depending on the selected Subscription, the Services may include website monitoring, backups, restoration tools, WordPress management, reporting, artificial intelligence features, managed services, integrations, APIs, and other features made available by Siteligent from time to time.

Service availability, functionality, usage limits, and included features may vary based on the Customer’s Subscription, technical requirements, infrastructure limitations, or regional availability. Siteligent may introduce, modify, replace, or discontinue Platform Services at any time in accordance with these Terms.

Nothing in these Terms guarantees the availability of any specific feature unless expressly included in the Customer’s active Subscription.

7.1 Website Monitoring

Siteligent may provide monitoring tools designed to help Customers identify operational issues affecting their WordPress websites.

Depending on the Subscription, monitoring features may include, without limitation:

  • Website uptime monitoring
  • SSL certificate monitoring
  • Domain monitoring
  • Performance monitoring
  • Website availability monitoring
  • Security-related notifications
  • Operational alerts
  • Scheduled health checks

Monitoring information is provided for informational and operational purposes only.

Although Siteligent uses commercially reasonable efforts to provide reliable monitoring, no monitoring system can detect every outage, interruption, vulnerability, performance issue, or operational failure. Customers remain solely responsible for monitoring, maintaining, and administering their own websites, servers, domains, hosting environments, and related infrastructure.

7.2 Website Updates

Siteligent provides tools that assist Customers in managing WordPress core, plugin, theme, and related software updates.

Update functionality may include automated updates, scheduled updates, safe update workflows, compatibility checks, rollback preparation, update notifications, visual comparisons, or similar features depending on the Customer’s Subscription.

Customers acknowledge that software updates may introduce incompatibilities, conflicts, unexpected behavior, or other issues beyond Siteligent’s control.

Customers remain responsible for reviewing update settings, testing critical websites where appropriate, and verifying website functionality following updates.

7.3 Backup Services

Certain Subscription plans include automated or manual backup functionality.

Backup Services are intended to assist Customers in protecting website data and recovering from unexpected events.

Depending on the Subscription, backup functionality may include:

  • Scheduled backups
  • Manual backups
  • Cloud storage
  • Backup retention
  • Downloadable backups
  • One-click restoration
  • Long-term backup retention, where available
  • Pre-update backups

Backup frequency, retention periods, storage allocations, restoration options, and related functionality may vary depending on the selected Subscription.

Although Siteligent uses commercially reasonable efforts to maintain backup reliability, no backup solution can guarantee that every backup will be complete, error-free, recoverable, or available in every circumstance.

Customers remain responsible for maintaining independent backup strategies appropriate for their business requirements and for periodically verifying backup integrity.

7.4 Website Restoration and Rollback

Siteligent may provide restoration, rollback, or recovery tools that allow Customers to restore previously created backups.

Restoring a backup may overwrite existing website files, databases, media, settings, plugins, themes, configurations, or other content.

Customers acknowledge that restoration may result in:

  • Loss of recent website changes
  • Data inconsistencies
  • Plugin or theme incompatibilities
  • Configuration changes
  • Temporary service interruptions

Customers are solely responsible for reviewing and approving restoration actions before execution.

Siteligent shall not be responsible for data loss, business interruption, compatibility issues, or other consequences resulting from restoration requests initiated by the Customer or an authorized user.

7.5 Security Monitoring and Vulnerability Detection

Siteligent may provide vulnerability detection, security notifications, malware indicators, risk alerts, or similar security-related functionality designed to assist Customers in identifying publicly known security issues affecting WordPress websites.

Security information may be obtained from publicly available databases, third-party providers, internal research, or other trusted sources.

Customers acknowledge that:

  • Security information may be delayed.
  • Newly discovered vulnerabilities may not yet be publicly available.
  • Security notifications may contain inaccuracies, false positives, or false negatives.
  • Not every vulnerability or security risk can be identified automatically.

Security notifications are provided for informational purposes only and do not constitute cybersecurity, legal, compliance, or professional security advice.

Customers remain solely responsible for securing their websites, hosting environments, servers, domains, applications, user accounts, credentials, and related infrastructure.

7.6 AI Features

Certain Services may include artificial intelligence (“AI”) features that generate recommendations, summaries, reports, analyses, operational insights, troubleshooting guidance, automation suggestions, or other content.

AI-generated outputs are intended solely to assist Customers and should not be relied upon as professional, legal, financial, cybersecurity, or technical advice.

Customers acknowledge that AI-generated content:

  • May contain inaccuracies.
  • May be incomplete or outdated.
  • May not reflect the latest information.
  • May produce incorrect recommendations.
  • Requires independent human review before implementation.

Customers remain solely responsible for evaluating, validating, and deciding whether to rely upon AI-generated outputs.

Siteligent makes no warranty regarding the accuracy, completeness, reliability, or suitability of AI-generated content.

7.7 Managed Services

Where purchased separately or included within an applicable Subscription, Siteligent may provide professional services such as:

  • Website management
  • Professional website services
  • Content updates
  • Website migrations
  • Technical consulting
  • Emergency assistance
  • Security assistance
  • Other professional services

Managed Services are performed using commercially reasonable skill and care based on the information and access provided by the Customer.

Unless expressly agreed in writing, Siteligent does not guarantee specific business outcomes, search engine rankings, website performance improvements, security outcomes, or uninterrupted website operation.

Customers remain responsible for reviewing completed work, maintaining appropriate backups, and providing accurate instructions, credentials, and approvals.

7.8 Beta Features

From time to time, Siteligent may make preview, beta, early access, experimental, or pre-release features (“Beta Features”) available to selected Customers.

Beta Features are provided for evaluation and testing purposes only and may contain errors, incomplete functionality, or unexpected behavior.

Siteligent may modify, suspend, restrict, or discontinue Beta Features at any time without prior notice and without liability.

Unless otherwise stated, Beta Features are provided “as is” without any warranty and may not be supported to the same standard as generally available Services.

7.9 Fair Usage

To ensure reliable performance and fair access for all Customers, Siteligent may apply reasonable usage limits to certain Services, including AI features, monitoring, backups, API usage, storage, reporting, automation, or other resource-intensive functionality.

Customers agree not to use the Services in a manner that places an unreasonable burden on the Platform or materially affects the availability or performance of the Services for other Customers.

Where reasonably practical, Siteligent may notify Customers before applying usage restrictions. Siteligent reserves the right to temporarily limit, suspend, or restrict excessive usage where necessary to protect the stability, security, or reliability of the Platform.

7.10 API Access

Where Siteligent provides APIs, webhooks, developer tools, or similar interfaces, Customers may use them solely in accordance with these Terms and any applicable documentation.

Customers shall not:

  • Attempt to circumvent usage limits.
  • Interfere with Platform security.
  • Reverse engineer or abuse API functionality.
  • Use APIs for unlawful or unauthorized purposes.
  • Attempt unauthorized access to Siteligent systems or Customer data.

Siteligent may modify, suspend, restrict, or discontinue API functionality at any time.

Customers are responsible for maintaining the confidentiality and security of any API credentials issued to them.

8. Subscription Changes

Customers may upgrade or downgrade their subscription plans subject to plan availability and applicable billing rules. Plan upgrades may become effective immediately and may result in prorated charges.

Plan downgrades may take effect immediately or at the beginning of the next billing cycle depending on the subscription type, billing provider, or plan structure.

Siteligent reserves the right to determine the method used to calculate prorated adjustments.

9. Billing and Payment

All subscription fees are payable in advance. Customers agree to pay all fees associated with their selected plan and any additional Services purchased.

Payments may be processed through one or more third-party payment processors approved by Siteligent. By providing payment information, you authorize Siteligent and its payment processors to charge all applicable fees, taxes, and recurring subscription charges.

Failure to provide valid payment information may result in suspension or restriction of Services.

10. Automatic Renewal

Unless cancelled prior to renewal, subscriptions automatically renew at the end of each billing cycle.

The renewal term will correspond to the original subscription period unless otherwise stated.

By subscribing, you authorize recurring charges using your selected payment method until cancellation.

Customers may disable automatic renewal through their account settings or by contacting Siteligent support before the next billing date.

11. Taxes

Fees displayed by Siteligent may exclude applicable taxes, duties, levies, or governmental charges unless expressly stated otherwise.

Customers are responsible for all taxes associated with their purchases except taxes imposed directly on Siteligent’s income.

Applicable taxes will be calculated where required by law.

12. Refund Policy

Siteligent offers eligible Customers a free trial period to evaluate the Services before purchasing a Subscription. Customers are encouraged to use the trial to determine whether the Services meet their requirements before committing to a paid plan.

Unless otherwise required by applicable law, all subscription fees are non-refundable once a Subscription has been activated or renewed.

The following are generally non-refundable:

  • Subscription fees after activation
  • Subscription renewals
  • Managed Services
  • Professional services
  • Website development and design services
  • Consulting services
  • Website migration services
  • Emergency support services
  • Custom implementations
  • Custom integrations
  • Third-party products or services
  • Domain registration fees
  • Hosting fees
  • Taxes and governmental charges, where applicable

Customers may cancel their Subscription at any time. Cancellation will prevent future renewal charges but will not entitle the Customer to a refund for the current billing period. Unless otherwise stated, access to paid Services will continue until the end of the active Subscription term.

Nothing in these Terms limits any statutory rights or consumer protections that cannot be excluded or restricted under applicable law.

Siteligent may, at its sole discretion, approve refunds or other billing adjustments in exceptional circumstances. Any such decision shall not create an obligation to provide refunds in similar situations in the future.

13. Service Credits

Siteligent may, at its sole discretion, issue account credits for duplicate payments, billing errors, service interruptions, goodwill adjustments, promotional campaigns, or other circumstances deemed appropriate by Siteligent.

Service Credits have no cash value, are non-transferable, non-refundable, and may only be applied toward eligible future purchases or subscription fees unless otherwise required by applicable law.

The issuance of a Service Credit does not constitute an admission of liability or create any obligation for Siteligent to provide similar credits in the future.

14. Cancellation

Customers may cancel a subscription at any time.

Cancellation prevents future renewal charges but does not automatically generate a refund for the current billing period.

Unless required by applicable law, fees already paid are non-refundable.

Following cancellation, Customers may continue using the subscribed Services until the end of the active billing period.

Upon expiration of the subscription period, access to premium features may be restricted, suspended, or disabled.

15. Account Suspension and Restriction

Siteligent may suspend, restrict, or temporarily disable access to Services where reasonably necessary to:

  • Investigate suspected abuse.
  • Protect platform security.
  • Prevent fraud.
  • Address payment failures.
  • Comply with legal obligations.
  • Protect Customers or infrastructure.
  • Enforce these Terms or associated policies.

Restrictions may include:

  • Temporary suspension.
  • Feature limitations.
  • API restrictions.
  • Account access limitations.
  • Removal of integrations.
  • Access revocation.

Where practical, Siteligent may provide notice before taking action. However, immediate action may be taken where Siteligent reasonably believes such action is necessary.

16. Termination

Siteligent may terminate an Account or access to the Services if a Customer:

  • Violates these Terms.
  • Violates the Acceptable Use Policy.
  • Uses the Services for unlawful purposes.
  • Engages in phishing, malware distribution, spam, fraud, or abusive activities.
  • Creates security risks.
  • Attempts unauthorized access to systems.
  • Interferes with the operation of the Services.
  • Fails to maintain valid payment methods for an extended period.

Termination shall not affect any rights, obligations, liabilities, or accrued fees existing prior to termination.

17. Use of the Services

Subject to compliance with these Terms and all applicable policies, Siteligent grants Customers a limited, non-exclusive, non-transferable, revocable right to access and use the Services during an active subscription period.

Customers may use the Services solely for legitimate business, operational, administrative, maintenance, monitoring, management, reporting, backup, recovery, and related purposes.

Customers agree to use the Services in accordance with:

  • These Terms.
  • Applicable laws and regulations.
  • Industry best practices.

Nothing in these Terms grants ownership of the Services, software, intellectual property, or technology provided by Siteligent.

The Acceptable Use Policy forms part of these Terms and is incorporated herein by reference.

Violation of the Acceptable Use Policy may result in suspension, restriction, or termination of Services.

19. Third Party Services

Siteligent relies on various third-party service providers to operate, maintain, secure, and enhance the Services. These providers may include AI providers, cloud infrastructure providers, hosting providers, payment processors, communication providers, analytics providers, domain registrars, and other technology partners.

Siteligent may change, replace, or add third-party providers from time to time as its Services evolve.

Siteligent is not responsible for outages, interruptions, pricing changes, policy changes, or other events arising from third-party services beyond its reasonable control. Use of third-party services may also be subject to the applicable terms and policies of those providers.

20. Customer Content

Customers retain ownership of Customer Content.

By using the Services, Customers grant Siteligent a limited, non-exclusive, worldwide, royalty-free right to access, process, store, transmit, analyze, display, reproduce, and otherwise use Customer Content solely to:

  • Provide Services.
  • Maintain Services.
  • Improve Services.
  • Secure Services.
  • Support Customers.
  • Comply with legal obligations.

Customers represent and warrant that they possess all necessary rights, permissions, and authority to provide Customer Content to Siteligent.

Customers remain solely responsible for Customer Content and all consequences arising from its use, storage, processing, publication, or transmission.

21. Data Retention

Data retention practices are described in applicable Siteligent policies, including:

Generally, Siteligent may retain information for operational, security, compliance, support, legal, and business purposes.

Customers may request deletion of their Accounts in accordance with applicable policies.

Certain information may continue to be retained where required by law, legal process, accounting obligations, fraud prevention requirements, dispute resolution requirements, or legitimate business interests.

22. Privacy and Data Protection

Siteligent processes personal information in accordance with its Privacy Policy and applicable data protection laws.

Customers remain responsible for ensuring that their own use of the Services complies with applicable privacy, data protection, and regulatory requirements.

23. Intellectual Property Rights

The Services, Platform, software, interfaces, dashboards, branding, trademarks, logos, documentation, reports, designs, visual elements, source code, databases, technologies, and related materials are owned by Siteligent or its licensors and are protected by applicable intellectual property laws.

Except as expressly permitted under these Terms, Customers may not:

  • Copy.
  • Modify.
  • Distribute.
  • Sell.
  • License.
  • Reverse engineer.
  • Decompile.
  • Create derivative works.
  • Republish.
  • Commercially exploit.

any portion of the Services without prior written permission from Siteligent.

No rights, ownership interests, or intellectual property rights are transferred to Customers by virtue of using the Services.

All rights not expressly granted are reserved by Siteligent.

24. Open Source Software

Certain components of the Services, including the Siteligent WordPress plugin, may incorporate or depend upon open-source software distributed under applicable open-source licenses.

Nothing in these Terms limits or overrides the rights granted under any applicable open-source license. Customers agree to comply with the license terms governing any open-source software distributed or used as part of the Services.

Open-source software is provided subject to its respective license terms, which shall prevail where required by applicable law.

25. Feedback

Customers may voluntarily submit suggestions, ideas, feature requests, comments, or other feedback regarding the Services. By submitting feedback, Customers grant Siteligent a perpetual, irrevocable, worldwide, royalty-free right to use, modify, incorporate, publish, and otherwise use such feedback without restriction or compensation. Siteligent is under no obligation to implement any feedback.

26. Confidentiality

Each party acknowledges that, during the course of using or providing the Services, it may obtain access to information that is confidential, proprietary, commercially sensitive, or otherwise not publicly available.

Confidential Information includes, without limitation:

  • Business information
  • Technical information
  • Product roadmaps
  • Software architecture
  • Security procedures
  • Website credentials
  • Customer information
  • Pricing information
  • Operational information
  • Financial information
  • Non-public reports
  • Internal communications

The receiving party agrees to:

  • Protect Confidential Information using reasonable safeguards.
  • Use Confidential Information solely for purposes related to the Services.
  • Limit access to individuals who require access for legitimate business purposes.
  • Not disclose Confidential Information to unauthorized third parties.

Confidential Information shall not include information that:

  • Is publicly available through no fault of the receiving party.
  • Was lawfully known before disclosure.
  • Is independently developed without use of Confidential Information.
  • Must be disclosed pursuant to law, regulation, court order, or governmental requirement.

These obligations shall survive termination of the Services.

27. Service Availability

Siteligent makes commercially reasonable efforts to provide reliable and available Services.

However, Customers acknowledge that no online service can guarantee uninterrupted availability.

The Services may be unavailable, delayed, interrupted, or degraded due to:

  • Scheduled maintenance.
  • Emergency maintenance.
  • Infrastructure failures.
  • Third-party service interruptions.
  • Internet disruptions.
  • Security incidents.
  • Hardware failures.
  • Software defects.
  • Capacity limitations.
  • Force majeure events.

Siteligent may perform maintenance activities that temporarily affect availability and functionality.

Where reasonably practical, advance notice may be provided for planned maintenance activities.

28. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis.

To the maximum extent permitted by applicable law, Siteligent disclaims all warranties, whether express, implied, statutory, or otherwise.

Without limitation, Siteligent does not warrant that:

  • The Services will operate without interruption.
  • The Services will be error-free.
  • All defects will be corrected.
  • All data will be preserved.
  • All backups will be successful.
  • All restorations will be successful.
  • All vulnerabilities will be detected.
  • All security risks will be identified.
  • All reports will be accurate.
  • All AI outputs will be accurate.
  • Websites will remain available.
  • Websites will remain secure.
  • The Services will meet every Customer requirement.

No information, communication, advice, report, recommendation, or guidance provided by Siteligent shall create any warranty not expressly stated in these Terms.

29. Limitation Of Liability

To the maximum extent permitted by law, Siteligent, its members, partners, employees, contractors, affiliates, licensors, and service providers shall not be liable for any indirect, incidental, special, exemplary, consequential, or punitive damages.

This includes, without limitation:

  • Loss of profits.
  • Loss of revenue.
  • Loss of business.
  • Loss of data.
  • Loss of goodwill.
  • Loss of customers.
  • Loss of contracts.
  • Business interruption.
  • Reputational damage.
  • Website downtime.
  • Security incidents.
  • Lost opportunities.

Regardless of whether the claim arises in contract, negligence, tort, strict liability, or otherwise.

To the maximum extent permitted by law, Siteligent’s total aggregate liability for all claims arising out of or related to the Services shall not exceed the total fees paid by the Customer to Siteligent during the twelve (12) months immediately preceding the event giving rise to the claim.

The limitations contained in this section shall apply even if a remedy fails of its essential purpose.

30. Customer Indemnification

Customers agree to defend, indemnify, and hold harmless Siteligent, its affiliates, members, officers, employees, contractors, licensors, partners, and service providers from and against any claims, actions, proceedings, liabilities, damages, losses, costs, expenses, penalties, judgments, or legal fees arising out of or related to:

  • Customer Content.
  • Customer websites.
  • Customer misuse of the Services.
  • Violation of these Terms.
  • Violation of applicable laws or regulations.
  • Violation of third-party rights.
  • Intellectual property infringement.
  • Security incidents caused by Customer actions or omissions.
  • Unauthorized activities conducted through the Customer Account.

Siteligent reserves the right to assume exclusive control of any matter subject to indemnification.

Customers agree to cooperate with Siteligent in the defense of any such claim.

31. Separate Agreements

If a Customer has entered into a separate written agreement, enterprise agreement, statement of work, order form, or other executed contract with Siteligent, that agreement shall prevail to the extent of any conflict with these Terms. All other provisions of these Terms shall continue to apply unless expressly modified by the separate agreement.

32. Force Majeure

Siteligent shall not be liable for any delay, interruption, failure, degradation, or inability to perform resulting from circumstances beyond its reasonable control.

Such circumstances include, without limitation:

  • Natural disasters.
  • Floods.
  • Fires.
  • Earthquakes.
  • Pandemics.
  • Epidemics.
  • Acts of government.
  • War.
  • Terrorism.
  • Civil unrest.
  • Labor disputes.
  • Utility failures.
  • Internet outages.
  • Cyberattacks.
  • Infrastructure failures.
  • Third-party service interruptions.

Performance obligations affected by a force majeure event shall be suspended for the duration of the event.

33. Changes To The Services

Siteligent continuously develops, improves, and evolves its Services.

Accordingly, Siteligent reserves the right to:

  • Add functionality.
  • Modify functionality.
  • Remove functionality.
  • Introduce new features.
  • Replace integrations.
  • Change technical requirements.
  • Discontinue products or services.

Nothing in these Terms obligates Siteligent to continue offering any specific feature, integration, functionality, or service indefinitely.

Where reasonably practical, Siteligent may provide notice of material changes affecting active subscriptions.

34. Changes To These Terms

Siteligent reserves the right to modify these Terms at any time.

Updated versions shall become effective upon publication unless otherwise stated.

Material changes may be communicated through:

  • Email.
  • Dashboard notifications.
  • Platform notices.
